Hello, You have a great startup but you also want a great startup valuation. You have to understand how VCs work when they value companies. Let’s start with their first startup valuation method which they modestly called the VC method . 1. The startup Valuation VC Method The VC method helps you understand how VCs value the money they are about to put in your startup. Basically let’s say that one VC imagines that he should at least double the value of its investment every year (yeah you read me right…that means +100% each year). As he knows that your startup will probably not be sold in one year time, the VC imagines how much money he will make in 3 years (when you will sell your startup to Google…). To do that, he takes your financial projections (or his financial projections if he estimates that your figures are grossly overestimated) and he multiplies your year-3 figures by a selected multiple. He calls that the EXIT value. Example Your year 3 turnover is estimated at USD 100 m (by the way, well done and please allow me to invest…). The VC will imagine that at this time he will be able to sell your startup for 10 times the turnover to Google (in his dreams if actually thinks about 50 times but today he decided to be reasonable). He then values your startup (In year 3) at a whopping USD 1 billion. WOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOOW !!!!!!!!!!! Hum, well, that’s in 3 year time… And remember he wants to double its initial investment every year. That’s where the infamous discount rate gets on stage. The VC will then do a backward valuation and says : “If year 3 valuation is USD 1bn, that means that year 2 valuation should be USD 500m, year 1 startup valuation should be USD 250m and year 0 valuation should then be USD 125m once I have put my money” So if we are on year 0, you ask for a USD 25m to the VC he will then tell you : “OK buddy, I will give you USD 25m in exchange for 20% of your company (25/125)”. Simple, no ? (and the good news is that you still have 80% of the billion (well in 3 years…)) 3 concepts to resume it: The Exit value and the exit multiple: what the VC thinks the company will be valued when he will sell it (generally a multiple of something like turnover, EBITDA, EBT etc…) The discount rate: the rate of growth the VC is expecting on his investment (generally varies from 20% to 100% depending on maturity of company, quality of management, competition etc.) The postmoney valuation : your present startup valuation including the money of the investor. I am now sure that you master the startup valuation VC method. However, if you do not want to bother, please visit seriousfunding.be and they will do the work for you. You know what the difference is? Venture capital. Today, I'm going to share with you how to raise venture capital. See, over my lifespan, I've raised more than $20 million. That may not seem like a lot. It's because I've learned that you shouldn't raise more than you need. Sure, some people raise hundreds of millions of dollars and then their company fails and the VCs take the whole thing. The key is with venture capital is to not raise too much, just raise a little bit more than you need. The reason I say a bit more is because things always go wrong. You may think, oh, I just need this much money, and then things will go right, I can do this and that, but things always go wrong. always add some padding. Now here's the thing that most people don't tell you about venture capital. When I first started off, I would go to VCs and pitch them like here's my idea; it's cool, it's the next best thing since sliced bread. You have to invest. And you know what they said? Oh, cool yeah, I'm interested, let us think about it, and we'll get back to you. You know what they did? They never got back. Why? Because I didn't build a relationship with them. See, venture capital is all about who you know. It's not about going out there and just raising money from random people. It's really about raising money from the right people. And what I learned about venture capital is when you build up a relationship and you get to know people, they're much more comfortable giving you money. Why? Because the idea they invested in, and they see this, is probably not going to be the idea that your company ends up with. Ideas change over time. What you first start with is rarely what you end up with. Things pivot and adapt. So people invest in those that they know. Twitter started out as Odeo. Odeo was a podcast company, and it wasn't working. Then they came up with Twitter. Podcasting. Twitter. Do you see the resemblance? I don't. The investors didn't either. But they understand ideas change. So, go to events like TechCrunch, they have conferences. Who are at the TechCrunch events? Investors. Mashable has meetups. Who are at those kinds of events? Investors. Before you pitch them, you have to get to know them first. That's the biggest mistake entrepreneurs make. People go and try to raise money, which never really happens, from random people that they don't know. And it usually, in most cases, ends up in disaster. You need to create a deck. There's a lot of amazing decks. If you go to SlideShare, Dave Mcclure once released a deck that shows you how to raise venture capital. I understand technology's changed, but the same pitch that worked back then works now. If you follow these steps, you will be better off, and you should have an easier shot at raising money. If you're not passionate, you're probably not going to get money. If you don't have a co-founder, again, it's going to be hard to raise money. VC's know you're not going to be able to do everything. If you're a business person, find an engineer. If you're an engineer, find a marketer or a design or a product person. You want to have at least two or more co-founders. Now that you've got your co-founders, you have to pitch a big idea. Ventur Capitalists are looking for the next Uber, Airbnb, eBay, Google, Microsoft; you get the point. Create something that's huge. They'd rather have you swing big and lose money than not take any risk at all. They don't want you to create a company that does $20 million a year and sells for $50 million. It doesn't do much for them. So go after a big idea, or no one's going to give you money. After you raise the Venture Capital, you should always be fundraising. Before your money runs out, raise more money. You want to have a healthy cash reserve, or else you're going to have a much harder time raising money. Do a check in, am I on track with what you want to hear, and is there an interest 2. Warm introductions - none off cold 3. Referrals - first priority is to a referral from anyone who has made them money 4. Quality introduction - three introductions to John Doehr in a week 5. "Investors like to invest in movies, not short cuts." - ask for feedback, tell them of plans, execute plan a. Underpromise over deliver, continue to execute 6. Be explicit about risks, VC shouldn't be uncovering risks a. This will fail if the following things happen, here's my plan to mitigate those risks 7. If you can't get to me other than through a cold email, it's almost like an intelligence test 8. The moment you feel like you're ready to engage someone in a relationship and have something compelling to talk about and can reflect yourself well, then you should take advantage of office hours 9. You would not hire a cofounder without knowing how they do well when things are going well and when things are going poorly 10. On seed investing, It's very easy for a VC to walk away from a 200k check 11. VCs like optionality and will wait for the last second, more time gives them more information 12. As an Entrepreneur, time is your enemy: you want faster turnover, move fast, shorter cycle time, lack of clarity, team loses focus, As a VC, time is your friend, can see things progress, more information and optionality. 13. They only do two or three deals and see 300 = 300 500, if you're not one of the most important things they are doing, you are relationship building and not in a process a. Are they calling you, are they setting up meetings for you, dog in eat, being proactive, doing work b. Show me your pipeline, tell me about your team, give me your references 14. Entrepreneurs don't ask enough questions; about how they make their decisions, etc 15. VCs: Ideas are a dime a dozen, they want to see some type of team and leadership; looking for a magnet for talent 16. Do not exaggerate on background, on opportunity, etc 17. We grade a company, seven factors, network effects, competition, etc, quality of team, good inter personal communication, ability to recruit, pain point, issues, unique technology 18. What is it about you that gives you an edge against competition, your history, your network, etc 19. Sequence it, create a competitive dynamic, use a sequence of events, had John Doehr 20. Find ways to give them more data and more information 21. Is this a fit for you and are you interested? Desperation sells poorly, have options 22. Fund raise 6 months before you need it, takes 3-4 months 23. Be ready to give 3 customers, have the customers prepped, etc. 24. Option Pool: Term sheet with 20% option pool, then they are saying they need a CEO 25. Jeff Bussgang - how do you figure out who the really compelling entrepreneurs without a track record, 26. Down the road, they will due do dilligence on their technology, market size analysis, call team, three customers read as references 27. If you only have one VC in your angel round who does follow on investing, you are giving them huge leverage 28. Create 0 or two or more, if only one and you really trust follow on will be there, one thing you can do is prenegotiate price and milestones. 29. Pre money is worthless, post money is worthless, option pool is meaningless. The important numbers is the "Promote"; your percent ownership after post money valuation; end of day, 10 million post money valuation, 10% ownership. As an entrepreneur 30. Convertible Note w/o Cap, typically with a discount: ○ When you're not sure about valuation ○ Raise 1 million today, 20% discount to convert in the next round ○ Raise 1 million at a 10 million, they get at a 800k 31. Understand Control: Voting thresholds, blocks, etc. 32. Document Milestones, agree what you will achieve with that capital with your investor 33. You're always raising capital as an investor, as soon as you're done, 34. Summary: Control the process; Ask questions and demand transparency; Get Warm Intros; Think of it as a Process; Get different options 35.
